Terms of Use

These terms explain the rules for using Owelet, what the Service does and does not do, and how subscriptions, records and account deletion work.

Plain-language summary

Owelet is a record-keeping tool, not a lender, bank, debt collector, accountant or legal adviser. You remain responsible for your transactions, customer communications and the accuracy and lawful use of information you enter. Paid access follows the price and billing terms shown at purchase.

1. Agreement to these Terms

These Terms of Use (“Terms”) are a legal agreement between you and Owelet (“Owelet”, “we”, “us” or “our”) governing the Owelet mobile application, website and related services (together, the “Service”). By creating an account, downloading or using the app, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Policy.

If you use Owelet for a business or on behalf of an organisation, you confirm that you have authority to accept these Terms for that organisation. “You” then includes both you and the organisation.

If you do not agree, do not use the Service. Nothing in these Terms excludes rights that cannot lawfully be excluded under applicable consumer or data-protection law.

2. Eligibility

You must be at least 18 years old, have capacity to enter a binding agreement, and be permitted to use the Service under applicable law. Information provided during registration and purchase must be accurate and current.

3. What Owelet provides

Owelet helps small and medium businesses record sales, customer debts, partial payments, products, receipts, reminders and summaries. It supports local/offline operation, and signed-in accounts may use cloud backup and synchronisation.

Feature availability depends on your platform, app version, plan and region. The free tier currently limits the number of debt records. Owelet Pro currently offers additional capacity and features such as cloud sync, branded PDF receipts and business reports. The current feature list in the app controls if website descriptions differ.

Owelet is not a financial institution. We do not lend money, purchase debts, collect money from customers, guarantee payment, provide credit scores, verify the legal enforceability of a debt, or provide accounting, tax, legal or financial advice.

4. Accounts and security

You may register with email and password or a supported identity provider such as Google or Apple. A verified Google identity using the same email may be linked to an existing account, and a Google-linked account may add email/password sign-in later.

You are responsible for safeguarding your device, account credentials, Google or Apple account, recovery email and optional Owelet PIN. Do not share credentials or allow unauthorised use. Notify info@owelet.ng promptly if you suspect compromise.

Do not create multiple accounts to evade free-tier limits, obtain repeated trials, misuse referrals or commit fraud. A business account is for the authorised user unless Owelet expressly offers a multi-user feature.

5. Your records and customer information

Ownership

You retain ownership of the sales, customer, product, payment and business information you enter (“Your Content”). You grant Owelet a limited, worldwide, non-exclusive licence to host, copy, process, transmit and display Your Content only as reasonably needed to provide, secure and support the Service.

Your responsibilities

You are responsible for ensuring that Your Content is accurate, lawful, relevant and not misleading; that you have a valid reason to record customer information; and that you provide any notice or obtain any permission required by law. Owelet does not independently verify a debt, payment, customer identity or receipt.

Exports and backups

The app supports CSV export and JSON backup. Keep periodic independent copies of important records and check that an export is complete before replacing a device, clearing app data or deleting an account. You are responsible for protecting exported files after they leave Owelet.

6. Acceptable use

You must use Owelet only for lawful business record-keeping. You must not:

  • create false or fabricated debts, receipts, identities, payments or business records;
  • use Owelet for fraud, money laundering, unlawful lending, extortion, harassment, threats, discrimination or abusive debt collection;
  • record, import, share or contact a person without a lawful basis or required permission;
  • send spam or unsolicited commercial messages;
  • access or attempt to access another user’s account or records;
  • introduce malicious code, overload the Service, bypass security or interfere with normal operation;
  • scrape, reverse engineer or extract source code except to the limited extent such restriction is prohibited by law;
  • resell, sublicense or provide the Service to others as your own product without written permission; or
  • use the Service in a way that violates law, these Terms, intellectual-property rights, privacy rights or platform rules.

7. Receipts, reminders and customer communications

Owelet can prepare receipts and content for sharing through applications on your device. You choose whether, when and to whom content is sent. Owelet does not become a party to the underlying transaction.

You are responsible for the accuracy of receipts and messages, the recipient’s contact information, and compliance with privacy, direct-marketing, consumer-protection and communications law. Do not use reminders in a threatening, deceptive or excessive way.

An Owelet receipt records information you entered; it does not by itself prove that a legally enforceable debt or payment exists, and may not satisfy tax, court, audit or regulatory requirements in every situation.

8. Owelet Pro subscriptions and payment

Plans and prices

Owelet may offer monthly and annual Pro plans. Current launch pricing is displayed on the website, but the plan, price, currency, tax treatment, billing period and renewal terms shown in the app or provider checkout immediately before purchase are the terms that control. Prices may vary by platform or region.

Apple devices

On iPhone and iPad, purchases are processed through Apple In-App Purchase and charged to your Apple ID. Unless the purchase screen says otherwise, an auto-renewable subscription renews until cancelled. Apple normally charges renewal within 24 hours before the current period ends. Manage or cancel it in Apple ID Subscriptions.

Android

On Android, Paystack processes checkout and recurring billing for the selected plan. You authorise the billing provider to charge the payment method associated with the subscription until cancellation takes effect. Payment must be verified by Owelet’s server before Pro access is granted.

Failed payments and entitlement checks

If a renewal fails, the billing provider may retry and Pro access may be paused or end. Owelet may periodically verify entitlement status and correct access that was granted due to an error, reversed charge, refund, expired subscription or invalid transaction.

Price changes

We may change prices for future purchases. For an existing recurring subscription, price changes will follow provider rules and applicable law, including notice or consent where required. You may cancel before a new price applies.

9. Free trials, referrals and promotions

Eligible new accounts may receive one 14-day Pro trial without payment details. The trial ends automatically and the account returns to the free tier unless you separately purchase Pro. Referral or promotional access may have additional conditions shown in the app.

Trials and promotions are limited to the eligible account and may not be duplicated through reinstalling, creating additional accounts or manipulating devices. We may change or withdraw an offer for future users, but will not intentionally shorten an active fixed trial except for abuse, legal requirements or service termination.

10. Cancellation and refunds

Cancel an Apple subscription

Use Apple ID Subscriptions. Owelet cannot cancel or directly refund an App Store transaction. Refund requests are handled by Apple at reportaproblem.apple.com.

Cancel a Paystack-billed subscription

Email info@owelet.ng from the address linked to the Owelet account with “Cancel Paystack subscription” in the subject. We will verify the request and process it as soon as reasonably possible. Submit the request at least two business days before renewal to reduce the risk that a charge already in processing completes.

Effect of cancellation

Unless the provider or law requires otherwise, Pro remains active until the paid period ends and then the account moves to the free tier. Cancellation does not delete your account or records.

Refunds

Except where required by applicable law or the billing provider’s policy, charges for a completed billing period are non-refundable and we do not provide prorated refunds for unused time. For duplicate or clearly erroneous Paystack charges, contact us promptly with the transaction reference. Nothing here limits mandatory consumer remedies.

11. Account deletion

You can permanently delete your Owelet account from Settings → Account → Delete Account. Export anything you need first. Successful deletion removes the Owelet account and associated synced records and cannot be undone. A backup or receipt you previously exported or shared remains wherever it was saved or sent.

Delete does not mean cancel: deleting the account or uninstalling the app does not automatically cancel a recurring Apple or Paystack subscription. Cancel with the billing provider first. If you delete while a subscription remains active, billing may continue even though Owelet can no longer connect the entitlement to the deleted account.

12. Third-party services

Owelet depends on third parties for cloud infrastructure, authentication, crash diagnostics, payments and user-selected sharing. Their services can be unavailable, change or apply separate terms. Relevant providers include Supabase, Paystack, Apple, Google and Sentry.

When you choose WhatsApp, SMS, email or another sharing destination, your use of that destination is governed by its provider. Owelet is not responsible for content or conduct outside the Service, but this does not remove any responsibility Owelet has for choosing and configuring its own processors.

13. Additional app-store terms

Apple App Store

If you obtain Owelet through Apple, these Terms are between you and Owelet, not Apple. Owelet, not Apple, is responsible for the app, maintenance and support, product claims, legal compliance, and intellectual-property claims relating to Owelet, subject to these Terms.

You receive a limited, non-transferable licence to use Owelet on Apple-branded products that you own or control as permitted by the Apple Media Services Usage Rules, including any permitted Family Sharing or volume-purchase use. Apple has no obligation to provide maintenance or support. If Owelet fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, as required by Apple’s rules; to the maximum extent permitted by law, Apple has no other warranty obligation.

Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it once you accept these Terms. You represent that you are not in a country subject to a United States Government embargo or designated as supporting terrorism, and are not listed on a United States Government prohibited or restricted-party list.

Google Play

If you obtain Owelet through Google Play, your use is also subject to the applicable Google Play terms. Google is not responsible for Owelet’s support except as required by Google’s own terms or applicable law.

14. Intellectual property and feedback

Owelet and its licensors retain all rights in the Service, including the app and website code, design, text, branding, logo, graphics and features, excluding Your Content. These Terms give you only a personal, limited, revocable, non-exclusive and non-transferable right to use the Service for its intended purpose.

If you voluntarily provide ideas or feedback, you grant Owelet a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, without transferring ownership of Your Content or personal data.

15. Availability, updates and changes

We work to keep Owelet reliable, but do not promise uninterrupted or error-free operation. Connectivity, app stores, cloud systems, payment providers, device storage, maintenance and events outside our control can affect availability. Offline records may remain usable during an outage, but sync and verification require a working connection.

We may release updates, fix errors, change features, enforce minimum app versions, or move features between plans. Where a change materially reduces a paid feature during an active period, we will provide reasonable notice or a remedy where required by law. We may discontinue the Service with reasonable notice when practicable, allowing time to export records unless urgent security or legal circumstances prevent it.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not warrant that Owelet will meet every business, accounting, tax, legal or evidentiary requirement; that records will be accepted by a customer, court, tax authority, lender or auditor; or that every error, loss or security incident can be prevented.

Reports and totals are generated from data you entered. Review important figures and obtain professional advice when making tax, legal, credit, accounting or financial decisions.

17. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including applicable consumer rights, fraud, wilful misconduct, or liability for death or personal injury caused by negligence where such exclusion is prohibited.

Subject to that sentence and to the maximum extent permitted by law, Owelet will not be liable for indirect, incidental, special, punitive or consequential loss; lost profits, revenue, goodwill, business opportunity or anticipated savings; unpaid customer debts; or loss caused by inaccurate user-entered information, a third-party service, failure to keep an export, or unauthorised access outside our reasonable control.

To the maximum extent permitted by law, Owelet’s aggregate liability arising from the Service in any 12-month period will not exceed the greater of the amount you paid for Owelet in that period or ₦25,000. This cap does not apply where prohibited by law.

Business indemnity

If you use Owelet for a business, you agree, to the extent permitted by law, to indemnify Owelet against third-party claims and reasonable costs caused by your unlawful customer-data use, false records, abusive communications, violation of these Terms, or infringement of another person’s rights. This does not apply to the extent a claim was caused by Owelet’s own breach or wrongdoing.

18. Suspension and termination

We may restrict, suspend or terminate access when reasonably necessary to address fraud, unlawful use, security threats, material or repeated breach, charge reversal, legal requirements, or risk to other users or the Service. Where appropriate, we will give notice and a reasonable opportunity to correct the issue.

You may stop using Owelet at any time and may delete your account as described above. Terms that logically survive termination — including ownership, payment obligations already incurred, disclaimers, liability, dispute and enforcement provisions — remain effective.

19. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, including applicable provisions of the Federal Competition and Consumer Protection Act 2018, the Nigeria Data Protection Act 2023 and other applicable legislation, without applying conflict-of-law rules that would defeat mandatory consumer rights.

Before starting formal proceedings, contact info@owelet.ng with a description of the dispute and requested resolution. We will try in good faith to resolve it within 30 days. If it is not resolved, either party may use a court of competent jurisdiction in Nigeria, subject to any right you have to approach the Federal Competition and Consumer Protection Commission, Nigeria Data Protection Commission or another competent authority.

20. Changes to these Terms

We may update these Terms to reflect changes in the Service, providers, law or risk. We will post the revised Terms and change the date above. For material changes, we will provide reasonable advance notice through the app, website or account email when practicable and required. Changes do not retroactively alter a completed purchase without a lawful basis.

If you do not agree to revised Terms, stop using the Service, cancel any recurring subscription and export and delete your account before the new Terms take effect.
